Board Charter
The Directors of DutaLand Berhad regard corporate governance as vitally important to the success of the company’s business and are unreservedly committed to applying the necessary principles to ensure that good governance is practiced in all business dealings in respect to shareholders and relevant stakeholders.
Directors' Code of Conduct
In the performance of his or her duties, a Director should at all times observe corporate governance, maintain relationship with shareholders, employees, creditors and customers, practice social responsibility to the community and the environment.
Terms of Reference of Audit Committee
The Audit Committee (“Committee”) shall be appointed by the Directors amongst its members of no fewer than three (3) members, all of whom shall be Non-Executive Directors, with a majority of them being Independent Directors
Terms of Reference of Nomination Committee
The objectives of the Committee are to establish a policy from which the Committee shall make its recommendation to the Board on the nomination of new Directors to the Board.

DutaLand Berhad is committed to upholding the highest standards of transparency, accountability and integrity in the disclosure of all material information on the company to the investing public, in accordance with the corporate disclosure requirements set out in Bursa Securities’ Main Market Listing Requirements.
Whistle Blowing Policy
In line with good corporate governance practices and with the introduction of the Whistleblower Protection Act 2010, the Board and Management of DutaLand Berhad and its subsidiary companies encourage employees and associates to report suspected and/or known misconduct and wrongdoings involving the company’s resources.
